Terms and conditions of use
Confidentiality agreement between you and Fael Company with headquarters in Agrate Brianza (MB) with VAT number 00793220153 (hereafter referred to as the "Parties" or individually as the "Party").
The Parties agree and stipulate the following:
- Purpose - The Parties wish to enter into technical and commercial relations, and it is necessary that the Parties agree to exchange and make available to each other the necessary information and data, which are reserved and confidential.
- Confidential Information - Confidential information means any document, agreement, understanding, any kind of data, files, drawings, technical data, photometric files relating to the project that the Parties have exchanged and/or will exchange, by any devices, including computer.
- Confidentiality Obligations - The Parties may disclose confidential information only to those employees, consultants, independent contractors or other entities that must have access to such confidential information in order to comply with the obligations set forth in this Agreement. The parties shall take all necessary precautions to ensure that the secrecy of the confidential information is preserved among its employees, consultants, independent contractors or other entities, and has to be responsible for maintaining such confidentiality.
- Proprietary Rights - Return of Materials - This Agreement does not grant, expressly or impliedly, any right or license to the Confidential Information or the intellectual property rights of the Parties. All materials provided without limitation by each Party to the other shall be immediately returned to the Party that made them available if requested to do so by the latter in writing.
- Privacy - The Parties also undertake to comply with the rules on the protection of personal data in compliance with GDPR and the Italian Legislative Decree n. 196/03.
- Law - Court - This Agreement is regulated and will be interpreted according to Italian laws. Any dispute relating to or in any way connected with this Agreement shall be subject to the exclusive jurisdiction of the Court of Monza (MB).
